Terms and Conditions
Last updated: Oct 18, 2026
1.1 These Terms and Conditions (the "Terms") govern your use of the Orange Theory website at orangetheory.cc (the "Website"), the Orange Theory newsletter in its free and paid versions, and all related emails and content (together, the "Service").1.2 The Service is operated by NT ekspertai be procentų, MB, a small partnership (mažoji bendrija) registered in the Register of Legal Entities of the Republic of Lithuania under company code 306658727, with its registered office at Aguonų g. 14, LT-03213 Vilnius, Lithuania ("we", "us", "our"). VAT code: LT100017271018. Email: [email protected].1.3 By subscribing to the Service, free or paid, or by otherwise using the Website, you agree to these Terms. If you do not agree, do not use the Service.1.4 Our [Privacy Policy] and [Cookie Policy] explain how we process personal data and use cookies. They form part of these Terms.1.5 The Service is hosted on the beehiiv platform, and payments are processed by Stripe. When you use their checkout, account or payment features, their own terms and privacy policies may also apply to the services they provide to you.1.6 In these Terms, "you" means the individual using the Service, and "consumer" means an individual acting for purposes outside their trade, business, craft or profession.
2.1 You must be at least 18 years old and legally able to enter into a binding contract to use the Service. By subscribing, you confirm that you meet these requirements.2.2 The Service is not directed at, and we do not advertise it to, persons located in the United Kingdom, Qatar or Saudi Arabia. If you are located in one of these countries, please do not subscribe. If we learn that a subscriber is located there, we may cancel the subscription and refund the unused part of any fee paid.2.3 You are responsible for making sure that your use of the Service is lawful where you live.
3.1 Free subscription. If you subscribe for free, you receive the posts we choose to make available for free, by email and on the Website.3.2 Paid subscription. A paid subscription runs for one year from the date of payment and includes:
12 paid essays per subscription year, published approximately once a month; and
access to the archive of past essays on the Website for as long as your paid subscription is active.
3.3 Delivery. Essays are sent by email to the address you register and published on the Website. Individual publication dates may vary.3.4 Shortfall. If fewer than 12 paid essays are published during your subscription year, email us at [email protected] and we will, at your choice, extend your subscription by one month for each missing essay or refund one twelfth of the annual price you paid for each missing essay.3.5 Changes to the Service. We may change the Website and the format, design or delivery method of the Service. We will not reduce what you paid for (12 essays per year and archive access) during your current subscription year. If a change materially reduces what you paid for, you may cancel and receive a pro-rata refund for the remaining period.3.6 End of access. Archive access ends when your paid subscription ends. You may keep the emails you have already received for personal use, as described in section 10.
4.1 Orange Theory publishes editorial and educational essays about bitcoin as a monetary asset: its network, its adoption and how it compares with other stores of value. The essays are written from the openly held view that bitcoin has long-term value. They express opinions; they are not neutral analysis.4.2 We do not publish price predictions or price targets, and we do not offer any investment, financial product or crypto-asset. Nothing in the Service is a recommendation or solicitation to buy, sell or hold bitcoin or any other asset.4.3 The Service is general in nature and does not take into account your objectives, financial situation or needs. It is not financial, investment, tax, legal or other professional advice. We are not a licensed financial adviser, investment firm or crypto-asset service provider, and we do not provide custody, exchange, portfolio management, advice on crypto-assets or any other financial service.4.4 Bitcoin is highly volatile. Its price can fall sharply and stay low for long periods, and you can lose all the money you put into it. Past performance does not indicate future results. Make your own decisions based on your own research and circumstances, and consult a qualified professional where appropriate.4.5 We take care to be accurate, but we do not guarantee that the content is complete, accurate or up to date. Each essay reflects our views on its publication date, and we are not obliged to update past essays.4.6 Conflict of interest. The author of Orange Theory holds bitcoin and therefore has a financial interest in its value. Persons connected with us may also hold bitcoin. We do not buy or sell bitcoin with the aim of profiting from the effect of anything we publish. We disclose this so you can take it into account when reading the Service.
5.1 You must give a valid email address that you control. Your subscription is personal to you: do not share your login link or access with anyone else.5.2 You are responsible for keeping your email account secure. Tell us promptly at [email protected] if you believe someone else has accessed your subscription.5.3 We will never ask for your private keys, seed phrase, wallet passwords or account passwords. We will never ask you to send bitcoin, any other crypto-asset or money to us by email, direct message or any channel other than the official checkout on the Website. Anyone who asks for these while claiming to represent Orange Theory is not us: do not respond, and report it to [email protected].
6.1 A paid subscription costs USD 21 per year. The price shown at checkout is the total price you pay, including any VAT or other taxes that apply to your purchase.6.2 Payments are processed by Stripe through the checkout on the Website. We do not receive or store your full card details.6.3 Your bank or card issuer may charge currency conversion or foreign transaction fees. These are outside our control.6.4 You will receive a payment confirmation by email. If you need an invoice, email [email protected] We may change the subscription price. A new price never applies to a period you have already paid for. We will email you about any price change at least 30 days before it applies to your renewal, and you may cancel before the renewal date if you do not accept it.6.6 If a renewal payment fails, it may be retried. If it still fails, your paid access ends, and you may continue to receive free posts.6.7 If we offer a discount or special price, the conditions of that offer, including how long it applies, will be shown before you pay.
7.1 Automatic renewal. Your paid subscription renews automatically for successive one-year periods at the price then in effect, and your payment method is charged on each renewal date, unless you cancel before that date. You agree to this when you subscribe.7.2 Renewal reminder. We will email you between 30 and 45 days before each renewal date. The reminder states that your subscription will renew unless you cancel, the renewal date, the price, the length of the renewal period and how to cancel.7.3 How to cancel. You can cancel at any time, online, from your subscription settings on the Website [insert link to the account page], or by emailing [email protected] from the address you subscribed with. We will confirm your cancellation by email.7.4 Effect of cancellation. Cancelling stops future renewals. Your paid access continues until the end of the period you have already paid for. Cancelling does not by itself entitle you to a refund for the rest of that period, except as set out in section 8 or where the law requires it.
8.1 14-day refund. You may cancel your paid subscription within 14 days of your first payment and receive a full refund, for any reason, even if you have already read paid essays. The same applies within 14 days of each annual renewal charge.8.2 Statutory right of withdrawal. If you are a consumer, you have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period expires 14 days after the day the contract is concluded. To exercise this right, inform us of your decision by a clear statement, for example an email to [email protected] or a letter to the address in section 1.2. You may use the model withdrawal form in the Annex, but you do not have to. To meet the deadline, it is enough to send your communication before the withdrawal period expires.8.3 Effects of withdrawal. If you withdraw, we will refund all payments received from you without undue delay and no later than 14 days after the day we are informed of your decision. We will use the same means of payment you used for the original transaction unless you have expressly agreed otherwise, and you will not pay any fees for the refund. Because our 14-day refund is unconditional, we do not deduct anything for essays you read before withdrawing.8.4 If we stop publishing. If we permanently discontinue the Service, we will refund the unused part of your current paid period, calculated pro rata by the number of days remaining.8.5 Other refunds. You are also entitled to a refund in the situations described in sections 2.2 (excluded countries), 3.4 (shortfall), 3.5 (material reduction of the Service), 13.3 (termination without your fault) and 16.3 (changes to these Terms).8.6 How refunds are paid. Refunds are made in US dollars to your original payment method. Any difference caused by your bank's currency conversion is outside our control.8.7 Payment disputes. If something is wrong with a charge, please email us first; we can usually fix it faster than a card dispute. This does not limit any right you have to dispute a charge with your bank.8.8 Your statutory rights. Nothing in these Terms affects the rights you have as a consumer under the law of the country where you live.
9.1 We send two kinds of email:
the newsletter you subscribed to: free posts and, if you have a paid subscription, paid essays; and
service emails about your subscription, such as payment confirmations, renewal reminders, security notices and notices of changes to these Terms or our policies.
9.2 We do not send promotional emails. We will not use your email address to advertise any product or service, ours or anyone else's, unless you separately opt in to receive such emails.9.3 Every newsletter email contains an unsubscribe link. While you have a paid subscription, you will still receive service emails, because we need them to run your subscription.9.4 We never sell your email address or share it with advertisers. Our Privacy Policy explains how we process your data.
10.1 Ownership. All content of the Service, including essays, text, graphics and the design of the Website, belongs to us or our licensors and is protected by copyright and other intellectual property laws. You may not use the Orange Theory name, logo or branding without our written permission, except to refer to the Service accurately.10.2 Your licence. Subject to these Terms, we grant you a personal, non-exclusive, non-transferable and revocable licence to read the content of the Service and to keep the emails you receive, for your personal, non-commercial use.10.3 Quoting. You may quote short excerpts, such as a few sentences, in your own commentary, reviews or social media posts, as long as you credit Orange Theory and link to orangetheory.cc.10.4 What you may not do. Except as allowed by section 10.3 or by law, you may not:
copy, republish, forward or otherwise make available paid essays, in full or in substantial part, to anyone who does not have their own paid subscription;
share your access to paid content;
sell, license or otherwise commercially exploit any content;
remove copyright notices or attribution;
use automated tools to scrape, harvest or bulk-download content; or
use any content to train, fine-tune or build artificial intelligence or machine learning models.
10.5 Text and data mining. We expressly reserve all rights to text and data mining of the content, within the meaning of Article 4(3) of Directive (EU) 2019/790.10.6 Statutory exceptions. Nothing in this section limits uses that the law allows without our permission, such as quotation within legal limits.10.7 Feedback. If you send us suggestions, we may use them without any obligation to you. We will not publish your name or your messages to us without your permission.
11.1 You agree not to:
use the Service for any unlawful purpose or in breach of these Terms;
try to gain unauthorised access to the Website, other subscribers' accounts or our systems;
interfere with or disrupt the Website, including by introducing malicious code or overloading it;
impersonate us or anyone else, or misrepresent a connection with us;
create multiple accounts to abuse refunds, free access or special offers; or
use the Service in a way that infringes anyone else's rights.
12.1 We may offer Orange Theory merchandise in the future. Merchandise will be sold under separate shop terms, covering ordering, delivery, returns and the legal guarantee, which we will publish and show you before you buy. These Terms do not apply to merchandise purchases.
13.1 Availability. We aim to keep the Website available, but it may be unavailable at times because of maintenance, outages at our providers or events beyond our control. We are not responsible for email delays or non-delivery caused by your email provider or spam filters.13.2 Suspension or termination for breach. We may suspend or end your access if you seriously or repeatedly breach these Terms, for example by redistributing paid essays or sharing your access, or where the law requires it. Where reasonable, we will warn you first and give you a chance to fix the breach. If we end your access because of your breach, we do not have to refund the rest of your paid period, except where the law requires it.13.3 Termination without your fault. If we end your subscription for any other reason, including discontinuing the Service, we will give you at least 30 days' notice where reasonably possible and refund the unused part of your paid period pro rata.13.4 Termination by you. You may stop using the Service and cancel your subscription at any time, as described in section 7.13.5 Survival. Sections 4, 10, 14, 15, 17 and 18 continue to apply after your subscription ends.
14.1 The Service is provided "as is" and "as available". To the extent the law allows, we give no warranties, express or implied, about the Service, including that it will meet your needs, be uninterrupted or error-free, or lead to any particular financial outcome.14.2 Decisions you make about bitcoin or any other asset are your own. To the extent the law allows, we are not responsible for any decision you make, or do not make, based on the Service.14.3 Links to third-party websites are provided for convenience. We do not control, and are not responsible for, their content, products or practices.14.4 This section does not limit any consumer rights that cannot be excluded by contract, including your rights if the Service is not supplied as described in these Terms.
15.1 Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for damage caused intentionally or by gross negligence, or for any other liability that cannot be limited or excluded by law.15.2 Subject to section 15.1, we are not liable for:
loss of profit, investment losses or trading losses;
losses arising from any decision to buy, sell or hold bitcoin or any other asset;
indirect or consequential losses that were not reasonably foreseeable when you subscribed; or
losses caused by events beyond our reasonable control.
15.3 Subject to section 15.1, our total liability to you for all claims relating to the Service is limited to the total amount you paid us in the 12 months before the event giving rise to the claim, or USD 50 if you have only used the free Service.15.4 If you use the Service for business purposes, we are also not liable for loss of business, revenue, contracts, goodwill or data.
16.1 We may update these Terms to reflect changes in the Service, the law or our business. The "Last updated" date at the top shows when they last changed.16.2 We will email subscribers about material changes at least 30 days before they take effect. Clarifications, and changes the law requires at shorter notice, may take effect sooner.16.3 If you do not accept a material change, you may cancel before it takes effect. If you have a paid subscription, we will then refund the unused part of your paid period pro rata. If you keep using the Service after the change takes effect, the updated Terms apply to you.
17.1 Governing law. These Terms, and any dispute about them or the Service, are governed by the law of the Republic of Lithuania. If you are a consumer, this does not deprive you of the protection of the mandatory rules of the law of the country where you habitually live.17.2 Complaints. Please contact us first at [email protected]. We will reply within 14 days.17.3 Out-of-court resolution. If you are a consumer and we cannot resolve your complaint, you may refer it to the State Consumer Rights Protection Authority of the Republic of Lithuania (Valstybinė vartotojų teisių apsaugos tarnyba), Vilniaus g. 25, LT-01402 Vilnius, Lithuania, [email protected], www.vvtat.lt. It resolves consumer disputes out of court, free of charge, after you have contacted us first. If you live in another EU country, the European Consumer Centre in your country can help with cross-border disputes.17.4 Courts. Disputes not resolved otherwise will be decided by the competent courts of the Republic of Lithuania. If you are a consumer living in the EU, you may also bring proceedings in the courts of the country where you live, and we may bring proceedings against you only in those courts.
18.1 How the contract is made. A paid subscription contract is concluded when you complete checkout and we confirm your subscription by email. You can review and correct your details before you pay. We keep a copy of the Terms in force when you subscribed, and you can save or print these Terms at any time.18.2 Entire agreement. These Terms, together with our Privacy Policy and Cookie Policy, are the entire agreement between you and us about the Service.18.3 Severability. If a court finds any provision invalid or unenforceable, the remaining provisions stay in force.18.4 No waiver. If we do not enforce a right straight away, we can still enforce it later.18.5 Transfer. We may transfer our rights and obligations under these Terms to another organisation, for example if the Service is sold. We will tell you if this happens; if you do not want to continue with the new operator, you may cancel and receive a pro-rata refund. You may not transfer your rights under these Terms without our written consent.18.6 Events beyond our control. We are not responsible for delays or failures caused by events beyond our reasonable control. If such an event affects the Service, we will tell you and take reasonable steps to limit its effect.18.7 Language. These Terms are concluded in English. Any translation is provided for convenience only.18.8 Notices. We will contact you at the email address linked to your subscription. You can contact us at [email protected] or at the address in section 1.2.18.9 Third parties. No one other than you and us has any rights under these Terms.
